1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the NeverSolo mobile application, website, and related services (collectively, the "Platform") operated under the name NeverSolo ("NeverSolo", "we", "us", or "our").

By registering for an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not access or use the Platform.

2. About NeverSolo

NeverSolo is a social sports and activity platform designed to help people discover and participate in sports and recreational activities with other users.

Users may select their sports or activities and indicate their applicable skill level. Users may create challenges, invite other users, discover open challenges, participate in challenges, create or add venue information, and share posts with the NeverSolo community.

NeverSolo is a technology and social platform. It does not organize, conduct, supervise, coach, referee, insure, or guarantee any sports activity, challenge, meeting, or event arranged by users.

NeverSolo does not act as a sports club, event organizer, venue operator, booking agent, or sports facility provider.

3. Eligibility and Accounts

You must provide accurate, complete, and current information when creating and maintaining your NeverSolo account.

You are responsible for maintaining the confidentiality of your account credentials and for activities carried out through your account.

You must not:

• Impersonate another person;
• Create an account using false or misleading information;
• Use another person's account without authorization;
• Create accounts for fraudulent or abusive purposes; or
• Use the Platform if you are legally prohibited from doing so.

If applicable law requires parental or guardian consent for your use of the Platform, you must obtain and maintain that consent.

4. User Profiles and Skill Levels

NeverSolo allows users to provide profile information and select skill levels for sports or activities.

Skill levels are provided by users for social and discovery purposes. NeverSolo does not independently verify, certify, assess, or guarantee a user's claimed skill level, experience, qualifications, fitness, or ability.

Users should consider skill levels as information provided by the relevant user and should make their own assessment before participating in any activity.

5. Challenges

Users may create challenges when they wish to participate in a sport, game, or activity with other people.

A challenge may contain information such as:

• Sport or activity;
• Challenge title and description;
• Date and time;
• Venue or location;
• Required or preferred skill level;
• Participant requirements or limits;
• Invited users; and
• Other information supplied by the challenge creator.

Depending on the functionality selected by the challenge creator, a challenge may be available to specifically invited users or may be open for other eligible users to discover and join.

The person creating a challenge is responsible for ensuring that the information provided is accurate, lawful, and appropriate.

NeverSolo does not guarantee that a challenge will take place, that the challenge creator or participants will attend, that the stated information will remain unchanged, or that a particular number or type of participants will join.

Challenge creators and participants are responsible for communicating any changes, cancellations, or other arrangements directly with the relevant participants through the available Platform functionality or other lawful means available to them.

6. Invitations and Participation

Challenge creators may invite other NeverSolo users to participate in a challenge.

An invited user may accept or decline an invitation where the relevant functionality is available.

Users may also request to participate in challenges that are open for participation, subject to any participant limits or requirements established for that challenge.

Participation in a challenge is voluntary. By joining a challenge, you are responsible for deciding whether the activity, location, timing, participants, and circumstances are suitable for you.

NeverSolo does not guarantee the identity, age, behavior, qualifications, experience, skill level, reliability, intentions, or suitability of any user or participant.

7. Venues

NeverSolo allows users to add, select, or provide information about venues or locations that may be associated with challenges.

Venue information may include a venue name, address, map location, photographs, description, or other information supplied by a user or obtained through supporting technology services.

NeverSolo does not provide venue booking, reservation, rental, admission, facility management, or payment services for venues.

The availability of a venue on NeverSolo does not mean that the venue has approved, partnered with, endorsed, or authorized NeverSolo or any particular challenge.

Users are responsible for independently verifying venue availability, opening hours, access requirements, rules, charges, permissions, facilities, safety conditions, and any other relevant information before visiting or using a venue.

Users must not falsely represent themselves as owners, employees, representatives, or authorized agents of a venue.

8. Posts, Comments and Likes

NeverSolo allows users to create and publish posts and may allow other users to interact with those posts through features such as likes and comments.

Users are solely responsible for the content they publish, including photographs, videos, text, comments, and other materials.

By posting content, you understand that the content may be visible to other NeverSolo users depending on the relevant Platform functionality and visibility settings.

Comments must be relevant and respectful and must not be used to harass, threaten, abuse, defame, impersonate, or otherwise harm another person.

Likes, comments, and other interactions do not represent an endorsement by NeverSolo.

9. User-Generated Content

"User-Generated Content" or "UGC" means content submitted, uploaded, published, or otherwise made available by users through the Platform, including posts, photographs, videos, comments, challenge details, venue information, and other materials.

You retain ownership of your UGC to the extent that you have lawful ownership rights in that content.

By submitting UGC to NeverSolo, you grant NeverSolo a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, transmit, and technically process that content as reasonably necessary to operate, maintain, secure, improve, and provide the Platform.

You represent that you have all rights, permissions, and lawful authority necessary to submit the content and grant the rights described above.

You must not upload or publish content that infringes another person's intellectual property, privacy, publicity, contractual, or other legal rights.

10. Prohibited Conduct

You must not use NeverSolo to:

• Engage in unlawful activity;
• Threaten, harass, stalk, intimidate, or abuse another person;
• Impersonate another person, organization, venue, or business;
• Create fraudulent, deceptive, or misleading challenges;
• Provide intentionally false venue or location information;
• Misrepresent your sports experience or skill level for harmful or fraudulent purposes;
• Publish content that infringes another person's rights;
• Publish abusive, hateful, threatening, sexually exploitative, or otherwise unlawful content;
• Upload content involving sexual exploitation or abuse of minors;
• Collect or misuse another user's personal information without authorization;
• Use NeverSolo to facilitate fraud, scams, or other harmful activity;
• Attempt to gain unauthorized access to the Platform or another user's account;
• Interfere with the security or operation of the Platform;
• Use automated systems to access or collect Platform information without authorization;
• Circumvent account restrictions or safety measures; or
• Use the Platform in any manner prohibited by applicable law.

11. User Safety and Sports Activities

NeverSolo does not supervise or control activities arranged through the Platform and cannot guarantee the safety of any challenge, participant, venue, or activity.

Before accepting an invitation or joining a challenge, users should independently consider:

• Their own physical condition and ability;
• The nature and difficulty of the activity;
• The stated skill levels of participants;
• The venue and surrounding environment;
• The identity and circumstances of other participants;
• Applicable sports or venue rules; and
• Any other circumstances that could affect their safety.

Where appropriate, users should consider meeting in suitable public locations, informing someone they trust about their plans, following venue and sports safety rules, and contacting emergency services when necessary.

NeverSolo does not conduct a background check on every user and does not guarantee that any user is safe, trustworthy, qualified, or suitable for participation.

12. Third-Party Services and Locations

NeverSolo may rely on third-party technology and services, including mapping, location, hosting, authentication, notifications, analytics, and other infrastructure providers.

Third-party services may have their own terms and privacy policies, which may apply when you use those services.

Map, address, distance, location, and venue information may originate from users or third-party services and may be incomplete, inaccurate, delayed, or outdated.

NeverSolo does not guarantee the availability, accuracy, security, or suitability of third-party services except where liability cannot lawfully be excluded.

13. Device Permissions

Certain features may require device permissions, including location and contacts permissions.

13.1 Location Permission

Location access may be used to support features such as discovering nearby challenges or venues, selecting locations, and displaying relevant location information.

You may deny or withdraw location permission through your device settings. Some location-based features may not function correctly without the required permission.

13.2 Contacts Permission

Contacts access may be requested when you choose to find or invite people you know to participate in a challenge.

You may deny or withdraw contacts permission through your device settings. You are responsible for using contact information only where you have the necessary authority or lawful basis to do so.

14. Content Moderation

NeverSolo may review, restrict, remove, disable access to, or preserve content or account information where reasonably necessary to:

• Enforce these Terms;
• Respond to reports or complaints;
• Protect users or the public;
• Prevent fraud, abuse, or misuse;
• Protect Platform security;
• Comply with applicable law or lawful requests; or
• Protect the rights and property of NeverSolo or others.

Depending on the circumstances, we may remove content, restrict features, suspend accounts, or terminate accounts that violate these Terms or applicable law.

15. Platform Availability

We will make reasonable efforts to keep NeverSolo available and functioning, but we do not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

The Platform may be temporarily unavailable because of maintenance, updates, technical problems, network failures, security incidents, third-party service failures, or circumstances beyond our reasonable control.

16. Suspension and Termination

You may stop using NeverSolo at any time and may request deletion of your account subject to applicable law and our Privacy Policy.

We may suspend, restrict, or terminate an account where we reasonably believe that:

• The user has violated these Terms;
• The account presents a safety or security risk;
• The user has engaged in fraudulent or unlawful activity;
• The account has been used to abuse other users; or
• Action is required by applicable law.

Termination or suspension does not affect provisions that are intended by their nature to continue after termination.

17. Disclaimers

NeverSolo is provided on an "as available" basis to the maximum extent permitted by applicable law.

We do not guarantee that:

• A suitable participant will be found;
• An invited user will accept or attend a challenge;
• A challenge will take place as planned;
• A user's stated skill level or profile information is accurate;
• Venue or location information is accurate or current;
• A venue will be open, accessible, available, or suitable;
• A participant will behave appropriately or safely; or
• The Platform will always operate without interruption or errors.

NeverSolo does not provide professional sports, medical, fitness, legal, security, or emergency advice.

18. Limitation of Liability

To the maximum extent permitted by applicable law, NeverSolo and its affiliates, personnel, contractors, and service providers shall not be liable for indirect, incidental, special, consequential, or punitive losses arising from or related to your use of the Platform.

This includes, to the extent permitted by applicable law, losses or claims relating to:

• Sports injuries, accidents, illness, death, or property damage;
• The conduct or actions of another user;
• Incorrect or outdated venue or location information;
• Challenge cancellations, changes, delays, or failure to occur;
• Disputes between users or participants;
• Unauthorized information shared by users;
• Third-party services or network failures; and
• A user's failure to independently verify important information.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless NeverSolo, its affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your violation of these Terms;
• Your unlawful use of the Platform;
• Your User-Generated Content;
• Your violation of another person's rights; or
• Your participation in activities arranged through the Platform.

20. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles, to the extent permitted by applicable law.

Subject to applicable law, disputes arising out of or relating to these Terms or your use of NeverSolo shall be subject to the jurisdiction of the competent courts in Surat, Gujarat, India.

Nothing in this section prevents a party from seeking urgent or interim relief from a court having appropriate jurisdiction where permitted by law.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes to NeverSolo, our services, technology, legal requirements, or business practices.

When we make material changes, we may provide appropriate notice through the Platform or other reasonable means where required by applicable law.

Your continued use of NeverSolo after the updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

The "Last Updated" date at the beginning of these Terms indicates when these Terms were most recently updated.
